Hudi Terms of Use
Last Updated: Sep 24th, 2026
Please read these Terms of Use (the “Terms”) and our Privacy Policy (“Privacy Policy”) carefully because they govern your use of the user interface located at hudi.com (the “Interface”) offered by Hudi, a Delaware C Corporation organized under the laws of Delaware (“HUDI,” “we” or “us”).
PERPETUALS AND LEVERAGED TRADING INVOLVE A SIGNIFICANT RISK OF LOSS. YOU CAN LOSE ALL COLLATERAL COMMITTED TO A POSITION. FOLLOWING A CREATOR OR COPYING A TRADE DOES NOT GUARANTEE A RETURN. THE INTERFACE IS NOT AVAILABLE TO RESTRICTED PERSONS, INCLUDING USERS IN THE UNITED STATES AND THE OTHER JURISDICTIONS IDENTIFIED IN SECTION 3.
1. Agreement to Terms
You must accept these Terms before creating an account or using the Interface's transaction features. If you don't agree, you may not use those features. If you act for an entity, you represent that you have authority to bind it, and “you” includes that entity. Third-party services have their own terms and privacy notices, which you should review before using them. Those terms govern the provider's service; these Terms govern your use of HUDI. Our Privacy Policy explains our personal-information practices. Accepting these Terms does not replace any separate consent required for processing personal information or using optional cookies.
2. Changes to these Terms or the Interface
We may update these Terms by posting a revised version and effective date. We will give advance notice of material changes and obtain renewed acceptance where required by law. Urgent security or legal changes may take effect sooner, with notice when reasonably possible. Changes will not retroactively alter an existing dispute. We may change, suspend or discontinue Interface features, with reasonable notice where practicable. If you disagree with revised Terms, stop using the affected features. Stopping use does not close positions, cancel orders or withdraw collateral from the protocol.
3. Who May Use the Interface?
You may use the account, social and transaction features only if you are at least 18, have reached the age needed to form a binding contract where you live, and are legally permitted to use them.
You may not use the Interface, including its account, social and transaction features, if you are located in, resident in or accessing it from any of the following jurisdictions, or are an entity incorporated in, with a registered office in or with its principal place of business in any of them: Cuba, Iran, North Korea, Russia, Singapore, South Sudan, Sudan, Thailand, the United States, and the Crimea, Donetsk, Luhansk and occupied Zaporizhzhia regions of Ukraine (the “Restricted Jurisdictions”). You must not use the Interface if applicable sanctions prohibit providing it to you, including because you are subject to asset-blocking sanctions or treated as blocked through ownership. This includes relevant restrictions administered by OFAC, the United Nations, the European Union, the United Kingdom or another applicable authority. You must not use the Interface from any other location where providing it to you is prohibited by applicable sanctions or law, or act on behalf of or for the benefit of a person prohibited from using it. Together with persons excluded under the preceding paragraph, these are “Restricted Persons”. We may add Restricted Jurisdictions or restrict particular markets or features to address legal, security or compliance requirements, and will publish applicable changes through the Interface. Where lawful and technically available, we may limit access to managing or closing existing positions. A country not appearing on the list is not a representation that every product is lawful or available there. By using the Interface, you represent that you are eligible under this Section. We may request accurate eligibility information and restrict access by location, account, wallet or feature. Keep information you provide current. You must not use VPNs, proxies, false identities or another person's account to evade restrictions. We may suspend access if we cannot establish eligibility. These restrictions do not prevent access to our legal notices or contacting us for support or to exercise legal rights.
4. The Interface and Third-Party Services
The Interface is a web-based interface operated by Hudi that aggregates, and allows users to access, connect to and interact with, third-party protocols, smart contracts, products, services, technologies, software (including open-source software), information and other resources, whether by hyperlink, kick-out link, embedded frame or window, integration, routing or otherwise (collectively, “Third-Party Services”), including various third-party smart contract-based products and services deployed on Sui, a decentralized blockchain protocol. All of the smart contract-based products, services and features accessible through or displayed within the Interface are Third-Party Services. The Interface functions solely as a unified, web-based means of visualizing, accessing and interacting with Third-Party Services; Hudi operates the Interface only, and Hudi is not the provider, operator, issuer, sponsor or counterparty of or to any Third-Party Service. We do not develop, deploy, own, operate, maintain or control any of the underlying smart contracts and protocols, nor does it custody, hold or exercise any control over any user assets. A Third-Party Service does not cease to be a Third-Party Service merely because it is displayed within, framed by, presented with branding consistent with, or otherwise appears integrated into, the Interface.
You acknowledge and agree that the underlying smart contracts operate independently on Sui, a Layer-1 blockchain, none of which is hosted, maintained, or controlled by Hudi. You interact with the underlying smart contracts entirely in a self-directed manner. The Interface is only one of several means by which you may interact with such smart contracts and protocols; the underlying smart contracts and protocols are publicly accessible, and you can access and interact with them directly on-chain, or through third-party interfaces, without using the Interface. The Interface, and any access to Third-Party Services that it provides, is made available solely as a convenience to you.
[a] Third-Party Terms
The Interface identifies the provider and counterparty arrangement for each market before you trade. The counterparty is the Protocol Operator or another provider identified in that market's terms. HUDI does not become your trading counterparty through these Terms. Review the provider's execution, collateral, funding, liquidation, settlement and withdrawal rules before approving a transaction.
[b] No Responsibility for Third-Party Services
Because we have no control over Third-Party Services, you acknowledge and agree that we are not responsible for the availability, accuracy, security, legality or performance of any Third-Party Service, or the software or services provided by third parties, and we do not endorse and are not responsible or liable for any content, advertising, products, services or other materials on or available from any Third-Party Service. You further acknowledge and agree that neither Hudi nor any of its service providers, nor our or their affiliates, nor our or their respective officers, directors, employees and agents (each, a “Covered Party”) shall be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your access to or use of, or your reliance on any content, goods or services available on or through, any Third-Party Service.
[c] Fees
Protocol Fees. The underlying third-party products and services may charge trading fees, spread, or other fees pursuant to the parameters encoded in their smart contracts and the underlying blockchain protocol. These fees are smart contract- or protocol-governed parameters, are collected by the smart contract or blockchain protocol’s built-in logic, and, except as described under Interface Fees below, are not paid to or collected by Hudi. Fee information displayed on the Interface, where provided, is for informational purposes only and may not reflect real-time smart contract or protocol parameters. We have no control over such smart contract or protocol fees, nor do we have the ability to refund such fees.
Interface Fees. Hudi may, at its election, charge fees for use of the Interface. Any applicable Interface fees will be disclosed to you prior to any transaction to which they apply. Hudi Trading may also receive fees, commissions, revenue shares or other compensation from third parties in connection with Third-Party Services accessible through the Interface. No such arrangement makes Hudi the provider or operator of, or a counterparty to, any Third-Party Service, or constitutes an endorsement of any Third-Party Service.
[d] Taxes
You are responsible for determining and meeting your tax obligations, except where law assigns an obligation to a provider. HUDI does not provide tax advice or promise that crypto settlement or an offshore provider changes your tax treatment.
[e] Funding
The Interface identifies the provider and counterparty arrangement for each market before you trade. The counterparty is the Protocol Operator or another provider identified in that market's terms. HUDI does not become your trading counterparty through these Terms. Review the provider's execution, collateral, funding, liquidation, settlement and withdrawal rules before approving a transaction.
5. Accounts, Wallets and Transaction Approval
Your profile is not a bank account. Protect your login credentials, devices and recovery information, and report suspected unauthorized use. Never give creators or people claiming to provide support your passwords, authentication codes or secret wallet material. Signing in may establish a session that lets software on your device sign a transaction after you confirm it in HUDI, without a separate wallet prompt. Signing in is not approval of a trade. Continued access and recovery depend on your account type, access to your sign-in account and the provider's available recovery methods. Loss of access to a login provider or required recovery information can prevent wallet access; creating another profile does not necessarily recover the same address. HUDI does not guarantee recovery of inaccessible credentials or assets. You decide whether to trade and approve each trade or defined basket before the Interface initiates its transaction request. Review the instruments, directions, sizes, leverage, collateral, order conditions and charges presented for approval. Following a creator, joining a room or approving one basket does not authorize future trades, rebalancing or changes by that creator. A material change outside your approved instructions requires a new approval. A limit or conditional order you approve can execute later when its conditions are met. Funding, liquidation and settlement of an existing position operate under that position's terms without a new confirmation. These actions are different from copying a creator's next trade. Submission does not guarantee execution. Cancellation depends on the order's status and protocol capabilities, and a finalized blockchain transaction is generally irreversible. Logging out, unfollowing a creator or closing your account does not cancel an order or position. Assets you transfer to smart contracts are subject to those contracts' rules and controls, including limits on withdrawing collateral. HUDI does not receive a customer deposit under these Terms.
6. Intellectual Property
Subject to these Terms, we grant you a limited, personal, nonexclusive, nontransferable and revocable right to use the Interface for its intended purposes. HUDI and its licensors retain their rights in the Interface, branding and other content. Separate open-source licenses continue to govern software supplied under them. You retain ownership of content you post (“User Content”). You grant HUDI a worldwide, nonexclusive, royalty-free license to host, reproduce, format and display it, including through service providers, to provide, secure and moderate the Interface consistent with its audience controls and the Privacy Policy. This does not authorize unrelated advertising use of your name or likeness. You must have the rights needed to post the content and grant this license. You can request removal through available controls or direct contact. The license then continues only as needed for required retention, dispute records, reasonable backup cycles and copies already lawfully shared through the service. HUDI cannot erase public blockchain records or independent third-party copies.
7. Creators and Social Features
Creators can share commentary and proposed trades or baskets, including “Takes.” You decide what to share through the social features and whether to act on another user's content. Joining a room does not pool users' assets, authorize anyone to manage your account or give you rights to another user's profits. Group performance is not your account balance or return. Creators must disclose material compensation, sponsorships and financial interests relevant to their content. They must not fabricate results, guarantee returns, disguise advertising as independent opinion, claim unauthorized affiliation with HUDI or solicit another user's credentials or assets. You may not recruit restricted users or use HUDI for misleading promotions. Posting content, attracting followers or generating trades does not by itself create a right to payment. Any rewards or creator program must have disclosed eligibility, payment rules and conflicts before participation.
8. General Prohibitions and HUDI's Enforcement Rights
You agree not to:
- use the Interface for fraud, money laundering, sanctions evasion or other unlawful activity;
- manipulate markets, prices, oracles, liquidations or performance records, including through wash trading or spoofing;
- engage in prohibited insider trading or misuse unlawfully obtained confidential information;
- impersonate, harass or threaten others, access their accounts, or post unlawful or infringing content;
- introduce malicious code, bypass access controls, overload systems or scrape nonpublic information; or
- encourage or assist conduct prohibited by these Terms.
These restrictions do not prevent security testing expressly authorized by HUDI or activity protected by applicable law. Report vulnerabilities to Hudi without exploiting users or exposing their information. We may investigate misuse, remove content and limit access as reasonably necessary to enforce these Terms, protect users or comply with law. We do not promise to review every post. Report content or challenge a restriction through Hudi’s contact address below. We will explain decisions where reasonably possible and lawful and follow any additional procedures required by law.
9. No Investment Advice
HUDI does not assess your personal investment objectives or financial circumstances, recommend a suitable investment to you, or undertake to manage your account. Market information, creator content and rankings are not personal investment advice from HUDI. Popularity does not establish a creator's qualifications or the suitability of a trade. Evaluate each transaction and seek independent advice where needed. These Terms do not create a fiduciary relationship. They do not remove any duty or regulated obligation imposed by applicable law, or establish that a service is licensed or exempt.
10. No Fiduciary Duty
Neither Hudi nor any Covered Party is your broker, agent, or advisor and neither us nor any Covered Party has any fiduciary relationship or obligation to you in connection with any trades or other decisions or activities effected by you using the Interface. We do not evaluate or monitor the suitability of trading activities for users or provide any advice on the consequences of interacting with financial systems, products or services. You should not take, or refrain from taking, any action based on any information contained on the Interface, or any other information that we may make available at any time.
11. Termination
We may suspend or terminate access for material breach, unlawful conduct, security concerns, inability to establish eligibility or legal requirements. Where reasonably practicable and lawful, we will give notice and an opportunity to address a remediable issue. Immediate action may be necessary. You may stop using HUDI and request account closure through Hudi’s contact address below. Review open positions, orders and withdrawal options first. Closure or an access restriction does not release trading obligations or forfeit your assets to HUDI. Protocol rules continue during Interface downtime or restrictions. Where lawful and technically available, we will identify supported ways to manage existing positions or contact the provider, without guaranteeing an alternative access or withdrawal route. Provisions concerning accrued obligations, intellectual property, existing User Content, disclaimers, indemnity, liability and disputes survive as needed to give them effect. Personal-information retention is governed by the Privacy Policy and applicable law.
12. Warranty and Disclaimers
TO THE EXTENT PERMITTED BY LAW, THE INTERFACE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED ACCESS, ACCURATE DATA, EXECUTION, LIQUIDITY OR A TRADING RETURN.
You are responsible for the transactions you approve. Do not trade products whose terms or potential losses you do not understand or cannot afford. In particular:
[a]Perpetuals reference an asset or price; they do not give you ownership of the underlying stock, commodity or crypto asset. Stock-referenced positions do not confer shareholder, voting or dividend rights. Delivery or event adjustments depend on the product terms. An illustration does not promise that a market will be offered.
[b]Leverage magnifies gains and losses, and a small price movement can trigger automatic liquidation without warning. You can lose all committed collateral. Review whether collateral is isolated or shared and whether the contract permits losses beyond available collateral. Do not assume the margin shown for one trade is your maximum exposure. These Terms do not create an additional debt obligation.
[c]Prices and estimates may be delayed or differ from execution or settlement prices. Perpetuals can diverge from the underlying price. Funding and charges can reduce collateral even when prices move favorably. Market closures, halts and stale data can cause gaps and prevent an exit. Orders can fail or suffer slippage; basket legs may fill at different times, partially or not at all.
[d]Payouts and withdrawals depend on the identified counterparty arrangement, available resources and protocol rules. Review disclosed withdrawal restrictions and loss-allocation arrangements. A smart contract or flat fee does not guarantee solvency or create insurance or a payment promise by HUDI.
[e]Creators may be wrong, hold different positions or trade at different times and prices. Your execution, leverage, fees and closing decisions can produce different results. Past, simulated or group performance does not predict your returns. Read performance figures with their stated methodology and treatment of open positions, fees and funding.
[f]Smart contracts, networks, login services and other infrastructure can fail or be compromised. Protocol upgrade, pause or other administrative powers remain risks even where external multisig holders participate. An operational blockchain does not guarantee access to your account. Stablecoins can lose value or face issuer restrictions; bridges add security and settlement risks. Audits do not eliminate these risks.
Nothing in these Terms excludes a statutory guarantee or remedy that cannot lawfully be excluded, or excuses HUDI's unlawful conduct.
13. Indemnity
To the extent permitted by law, you will indemnify HUDI against third-party claims and reasonable resulting losses and legal costs caused by your unlawful conduct, material breach of these Terms or infringement of another person's rights through User Content. This does not cover HUDI's own breach, negligence or wrongdoing, or ordinary trading losses. We will promptly notify you of a claim and reasonably cooperate in its defense. Neither party may settle a claim on terms imposing an admission, non-monetary obligation or unreimbursed payment on the other without written consent, not to be unreasonably withheld. Mandatory consumer protections continue to apply.
14. Limitation of Liability
[a]TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER HUDI NOR ANY OTHER COVERED PARTY WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE INTERFACE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT HUDI OR ANY COVERED PARTY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
[b]IN NO EVENT WILL HUDI OR ANY OTHER COVERED PARTY BE LIABLE TO YOU FOR ANY DIRECT OR INDIRECT LOSSES OR DAMAGES INCURRED BY YOU IN CONNECTION WITH YOUR USE OF ANY THIRD-PARTY SERVICE.
[c]TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE TOTAL LIABILITY OF HUDI OR ANY COVERED PARTY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE INTERFACE EXCEED ONE HUNDRED U.S. DOLLARS ($100).
[d]THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN HUDI AND YOU.
[e]TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE INTERFACE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CLAIM OR CAUSE OF ACTION IS PERMANENTLY BARRED.
15. Governing Law and Forum Choice
Delaware law governs these Terms, without its conflict-of-laws rules. You retain mandatory consumer protections applicable to you. Subject to any mandatory right to proceed elsewhere, disputes may be brought in Delaware state or federal courts, and you and HUDI consent to their jurisdiction. A provider's separate terms govern its trading contract.
16. Dispute Resolution
Please contact legal@hudi.com with a description of the dispute and the remedy you seek. We will try in good faith to resolve it. This does not prevent urgent relief, regulatory complaints or proceedings within an applicable deadline. These Terms do not require arbitration, waive jury or collective remedies, or shorten a statutory limitation period.
17. Class Action Waiver; Jury Trial Waiver
[a]Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HUDI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. This waiver applies to all Disputes and to all claims and requests for relief, whether pursued in arbitration or in court, and whether or not Section 15 applies to you. If a Dispute is resolved through arbitration, the arbitrator may not consolidate another person’s claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this Section is found to be unenforceable as to a particular claim or request for relief, then that claim or request for relief (and only that claim or request for relief) shall be severed and may be brought exclusively in the courts specified in Section 15, on an individual basis, and this Section shall remain in full force and effect as to all other claims and requests for relief.
[b]Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HUDI EACH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE INTERFACE. This waiver applies whether or not Section 15 applies to you.
18. General Terms
[a]These Terms constitute the agreement between you and HUDI concerning the Interface. They do not replace a provider's contract or a separate agreement you make with us.
[b]An unenforceable provision is ineffective to the extent required by law; the remainder continues where it can operate lawfully. Failure to enforce a provision is not a waiver. A waiver must be in writing.
[c]You may not transfer these Terms without our consent unless law permits otherwise. We may transfer them with a business reorganization or transfer of the Interface without reducing your rights, and will give notice where required.
[d]Neither party is responsible for failures caused by events beyond its reasonable control, subject to legally required precautions, mitigation and nonwaivable duties. Accrued payment obligations remain payable.
[e]We may provide notices through the Interface or contact details you supply, using direct delivery where required by law. Material changes remain subject to Section 2.
[f]Neither Hudi nor any other Covered Party will be liable for any delay or failure to perform, or for any loss, resulting in whole or in part from causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, embargoes, acts of civil or military authorities, fire, flood, accident, pandemic or epidemic, strikes or labor shortages, shortages of transportation, facilities, fuel, energy or materials, denial-of-service or other attacks, failures or outages of the internet, blockchain networks, telecommunications systems or third-party infrastructure, or changes in applicable law or regulatory action.
[g]Except for the Covered Parties, each of which may enforce the provisions of these Terms that confer rights or protections on it, these Terms do not and are not intended to confer any rights or remedies upon any person other than you and Hudi.
[h]Section headings are for convenience of reference only and do not affect the meaning or interpretation of these Terms.
